Terms of service
The terms for using Centra. By creating an account or using the apps, you accept them. If you accept for a studio, you confirm you can bind it.
Who these terms are between
These terms are between [Registered company name — to be added on incorporation], [Registered office address — to be added] (“Centra”, “we”, “us”), which operates Centra at centra.studio, and the studio that opens a Centra account (“the studio”, “you”). People a studio invites (its team members and clients) use Centra under the studio’s account and must follow the rules on acceptable use below.
The service
Centra is software for photography and event studios: apps for the studio, its team and its clients, covering enquiries, bookings, people, money and deliveries. It is delivered online; see the delivery policy. We may change or improve features over time, and will tell studios about changes that matter to them.
Accounts
- Keep your sign-in to yourself. You are responsible for what is done through your account.
- Keep your account details, including the studio’s name and contact details, accurate.
- Studio owners decide who in their studio gets access, and can remove it.
- Accounts are for people aged 18 or over.
Acceptable use
You must not use Centra to:
- break the law, or infringe anyone’s rights, including copyright and privacy;
- send spam, or message anyone who has not agreed to hear from you;
- promote or sell anything Centra’s email provider prohibits, including illegal goods, adult content or escort services, gambling, drugs or supplements, debt collection, credit repair, payday loans, multi-level marketing, get-rich-quick schemes, list brokering or bought, rented or scraped contact lists, or selling social media likes, followers or reviews;
- phish, impersonate another person or business, or mislead people about who is writing to them;
- track or watch people, build profiles of them, decide their eligibility for anything, or discriminate against them, using data that came through Centra;
- upload harmful code, try to reach another studio’s data, or put unreasonable load on the service;
- do anything else that harms the delivery of other studios’ email or messages.
Your clients’ data: who is responsible
- For the personal data of its clients and team, the studio is the data fiduciary under India’s Digital Personal Data Protection Act 2023. The studio is responsible for giving those people notice, getting any consent the law needs, and having the right to upload and share what it shares, including photographs and files.
- Centra processes that data on the studio’s behalf, only on its instructions and only to run the service for it. Each studio’s data is kept apart from every other studio’s.
- We use service providers to run Centra. They are bound in writing to handle data only for us; the list is in the privacy policy.
- If a person asks us about their data held for a studio, or a provider such as Meta sends us a notice about it, we pass it to the studio and help it respond.
- When a studio leaves, we export its data on request and then delete it, except what the law makes us keep. See data deletion.
As the studio’s data processor, Centra also commits to:
- reasonable security safeguards, as the DPDP Rules require: encrypted connections, each studio’s data kept apart, access limited to the people and servers that need it, an activity trail that cannot be edited, and security and sign-in records kept for at least one year;
- telling the studio without delay if a breach affects its data, and helping it tell the people affected and the Data Protection Board of India;
- using the studio’s data for no purpose of its own.
Email and messages you send through Centra
Mail and messages a studio sends through Centra are sent in the studio’s name, and the studio is the sender responsible for them. For every email and every WhatsApp message it sends through Centra, the studio confirms that:
- the person agreed to hear from the studio, or has an existing relationship with it (an enquiry, a booking, an agreement, an invitation), and has not asked it to stop;
- the content is lawful, accurate, and not advertising dressed up as an update;
- it follows the acceptable use rules of the services that carry the message: Resend for email, and WhatsApp’s Business Messaging Policy and Meta’s terms for WhatsApp.
Centra is for service messages only: sign-in, invitations, invoices, agreements and updates about a booking. A studio must not use Centra to send marketing or newsletters unless and until Centra offers a marketing feature with its own terms. Email providers suspend senders whose recipients complain or bounce too often. If a studio’s mail goes above 0.08% spam complaints or 4% bounces, we will ask the studio to put it right and may suspend the studio’s account until it does, so that every other studio’s mail keeps arriving.
WhatsApp and lead forms (when you turn them on)
These features are planned. When a studio turns on WhatsApp messaging through Centra, it also agrees that:
- it has a valid opt-in from every person it messages, and honours every request to stop;
- outside WhatsApp’s 24-hour reply window, it sends only templates WhatsApp has approved;
- its WhatsApp business profile is accurate and it does not pretend to be another business;
- it never sends or asks for full card numbers, bank account numbers, Aadhaar or PAN numbers, or similar identity numbers over WhatsApp;
- it follows WhatsApp’s policies and stays responsible for everything sent from its number.
When a studio connects Facebook or Instagram lead forms, it agrees that:
- each form carries the notices the law requires and links to the studio’s own privacy policy;
- its forms are not aimed at children;
- it uses lead data only for the purpose stated on the form, and never sells it;
- Centra receives the leads only on the studio’s behalf.
Connected services
- Google sign-in, Google Calendar, WhatsApp and Meta lead forms are services of Google and Meta, under their own terms. A studio chooses whether to connect each one and can disconnect it.
- Centra takes no right to use data from a connected Google, Meta or WhatsApp account for analytics, marketing, AI training or anything beyond providing the feature you turned on. Our use of Google data follows the Google API Services User Data Policy, including its Limited Use requirements.
- Google, Meta, WhatsApp and Razorpay are named only to describe how Centra works with them. They do not endorse Centra.
AI features
AI features are off until a studio turns them on. Most of what an AI writes is a draft for a person to check. The exception is Iris’s AI follow-up questions: when a studio turns them on, they are written by AI and shown straight to the person filling in the studio’s enquiry form or questionnaire. The studio is responsible for turning AI features on and for what it sends or relies on. Data from connected Google, Meta and WhatsApp accounts is never used to train AI models.
Plans and payment
- Prices have not been published yet. Until they are, a studio’s plan, price and billing period are agreed directly with Centra in writing before any charge.
- Centra invoices the studio for each billing period. Prices are in Indian rupees, and GST is added where it applies. There is no automatic debit: the studio pays each invoice.
- Cancellation and refunds are covered in the cancellation and refunds policy.
Money your clients pay you
Each studio collects payments from its own clients through its own payment account (for example its own Razorpay account), or offline. That money goes straight to the studio. Centra is not a party to those payments: it does not receive, hold or pass on the studio’s clients’ money, and is not responsible for refunds, disputes or chargebacks between a studio and its clients. The studio’s arrangement with its payment provider is between the studio and that provider.
Suspension and ending
- A studio can stop using Centra at any time, as the cancellation policy describes.
- We may suspend a studio’s account for unpaid invoices, for breaking these terms, or where a provider such as our email provider or Meta requires it. We will say why, and where we can, warn first and give a chance to put it right.
- We may end the service for a studio that seriously or repeatedly breaks these terms.
- Data is not deleted when access ends. It stays available for us to export for the studio for at least 30 days, and until the studio asks us to delete it, as described in the data deletion page.
Availability
We work to keep Centra running and its data safe, but we cannot promise it will always be available or free of errors.
Limits of liability
To the extent the law allows, Centra is not liable for indirect or consequential losses, such as lost bookings or lost profit. Our total liability to a studio is limited to the amount that studio paid Centra in the twelve months before the event in question. Nothing here limits liability that cannot be limited by law.
Governing law
These terms are governed by the laws of India. The courts at [City — to be added] have jurisdiction over any dispute about them.
Changes and contact
When these terms change, the date at the top of this page changes with it, and we tell studio owners about changes that matter to them. Continuing to use Centra after a change means accepting the new terms. Questions go to support@centra.studio; other ways to reach us are on the contact page.
